These Terms and Conditions explain the terms on which you may access and use YourAvatar. Please read them carefully before creating an account or using the Service.

1.1 YourAvatar is operated by YOURAVATAR.AI LTD, a company registered in England and Wales under company number 15481378, with its registered office at 20 Wenlock Road, London, England, N1 7GU. In these Terms, we refer to YOURAVATAR.AI LTD as "YourAvatar", "we", "us" or "our".
1.2 These Terms govern your access to and use of the YourAvatar website at youravatar.ai, the YourAvatar application, avatar creation and conversational services, and related services that we tell you are subject to these Terms. Together these are the "Service".
1.3 By creating an account or using the Service, you agree to these Terms.
1.4 Our Privacy Policy explains how we collect, use and protect personal information. Our Cookie Policy explains how we use cookies and similar technologies. Both should be read alongside these Terms.
1.5 If you access YourAvatar through a care provider or another organisation, separate arrangements may also apply between that organisation and YourAvatar. These Terms continue to govern your individual use of the Service unless we tell you otherwise.
2.1 YourAvatar enables personalised AI avatars to be created to represent real people.
2.2 An avatar may be developed using information and material provided by the person represented and, where appropriately authorised, by family members, friends and other people who know them. This may include photographs, video, voice recordings, stories, memories and written information.
2.3 Users can interact conversationally with an avatar using artificial intelligence.
2.4 YourAvatar is designed to support connection, companionship and the sharing and preservation of memories, knowledge, stories and experiences.
2.5 An avatar is an AI-generated representation of a real person. It is not the person themselves.
2.6 An avatar does not possess consciousness, emotions, personal judgement or independent knowledge, even where an interaction may appear natural, familiar or personal.
2.7 The Service will continue to develop and its features and capabilities may change over time.
3.1 Different people may have different roles within the Service.
3.2 The same person may hold more than one role.
3.3 Holding a role does not give someone ownership of another person's identity, personal information, image, voice or likeness.
4.1 You must be at least 18 years old to create an account under these Terms.
4.2 The Service covered by these Terms is intended for adults. Any future service designed specifically for children or schools will be subject to appropriate additional or separate terms.
4.3 You must provide accurate information when creating an account and keep it reasonably up to date.
4.4 You are responsible for keeping your login details secure and must not knowingly allow another person to use your account as though it were their own.
4.5 If you believe somebody has gained unauthorised access to your account, please contact us promptly using the contact details made available through the Service.
4.6 You are responsible for activity carried out through your account unless that activity results from something for which we are legally responsible.
5.1 Every YourAvatar represents a real individual. An avatar may only be created, developed or maintained where the necessary consent, permission or other lawful authority exists.
5.2 If you create your own avatar, you authorise us to use the material you provide for the purposes described in these Terms and our Privacy Policy.
5.3 If you help create, manage or contribute to an avatar representing somebody else, you must have appropriate permission or authority to do so.
5.4 If the Avatar Subject is able to make the decision for themselves, their wishes take priority. You must not create or continue to manage an avatar against their wishes.
5.5 If there is uncertainty about whether an Avatar Subject can give the relevant agreement, or whether another person has authority to act for them, the avatar should not be created or materially changed until the position has been established.
5.6 We may ask for reasonable evidence of consent or authority and may refuse, restrict, suspend or remove an avatar where consent or authority is absent, withdrawn or genuinely disputed.
5.7 You must not knowingly:
6.1 YourAvatar may allow an authorised person to invite others to help create, personalise or interact with an avatar.
6.2 An invitation does not automatically give unrestricted access to the avatar or all information associated with it. Access depends on the role and permissions provided through the Service.
6.3 If you invite someone, you should only invite people whom you reasonably believe are appropriate to involve.
6.4 Contributions may include memories, stories, information about events and relationships, photographs, video, audio and written material.
6.5 If you contribute material, you are responsible for ensuring that you have the right or appropriate permission to provide it and allow it to be used as part of the Service.
6.6 Take particular care with private or sensitive information about somebody else. The fact that information forms part of your memory of an event does not necessarily mean it is appropriate to share.
6.7 You must not deliberately contribute information that you know is materially false, unlawful, defamatory or provided in breach of another person's rights.
6.8 Memories are personal and people may remember the same event differently. YourAvatar does not independently verify every contribution.
7.1 You continue to own any intellectual property rights that you have in photographs, recordings, written material and other content that you provide.
7.2 By providing content, you give YourAvatar a worldwide, non-exclusive and royalty-free licence to host, store, reproduce, process and adapt that content only to the extent reasonably necessary to create and personalise the relevant avatar, provide the Service to authorised users, maintain and secure the Service, investigate misuse and support the safe operation of YourAvatar.
7.3 This licence does not transfer ownership of your content to YourAvatar.
7.4 We will not sell an Avatar Subject's likeness, voice, memories or other personal content as a standalone product.
7.5 We will not use an Avatar Subject's likeness or voice to create an avatar representing that person for an unrelated third party without appropriate authority.
7.6 If you contribute material belonging to or depicting another person, you must have the rights or appropriate permission required to provide it.
7.7 We do not permit customer photographs, voice recordings, conversations or memories to be used to train general-purpose third-party AI models on our behalf unless we first update our Privacy Policy and, where required, obtain appropriate consent.
8.1 The Avatar Subject retains the rights they have under applicable law in relation to their name, identity, image, voice, likeness and personal information.
8.2 Creators retain their rights in material they contribute.
8.3 YourAvatar and its licensors own the intellectual property rights in the technology used to provide the Service, including the platform, software, systems, interfaces and underlying technology.
8.4 Subject to these Terms, authorised users receive a personal, limited, non-exclusive and non-transferable right to access and use the Service for its intended purposes.
8.5 Creating or managing an avatar does not give a Creator, Family Group Lead or User ownership of the Avatar Subject's identity or likeness or of the underlying YourAvatar technology.
9.1 YourAvatar uses artificial intelligence to generate conversational responses.
9.2 Not every response will come directly from information supplied or approved by the Avatar Subject or their Creators.
9.3 AI systems can produce inaccurate or unexpected results. An avatar may misunderstand a question, provide an inaccurate answer, combine information incorrectly, make assumptions or generate information that was never supplied about the Avatar Subject.
9.4 The apparent confidence, familiarity or naturalness of a response does not mean that it is accurate or that the Avatar Subject would personally have given the same response.
9.5 We may use safeguards and moderation controls intended to reduce inappropriate or harmful outputs, but no AI system can guarantee that every response will be accurate or appropriate.
10.1 YourAvatar is intended primarily for conversation, connection, companionship and sharing memories, knowledge and experiences.
10.2 It is not intended to replace a doctor, nurse, therapist, lawyer, financial adviser or other qualified professional.
10.3 You should not rely on an avatar:
10.4 Nothing an avatar says should be interpreted as a statement actually made, approved or endorsed by the Avatar Subject unless that particular content was supplied or approved by them.
10.5 If somebody requires urgent medical or emergency assistance, use the appropriate emergency or professional services rather than YourAvatar.
11.1 YourAvatar may be used by older adults and by people receiving care. If you help another person use YourAvatar, you should:
11.2 YourAvatar does not determine whether an individual has legal capacity to make a particular decision.
11.3 A care provider's involvement does not by itself provide consent or authority to create or manage an avatar.
12.1 You must use YourAvatar lawfully and responsibly. You must not use the Service to:
12.2 We may take proportionate action in response to suspected misuse, including restricting functionality, removing content, suspending access or terminating an account.
13.1 We process personal information in accordance with our Privacy Policy and applicable data protection law.
13.2 Where we rely on an Avatar Subject's consent, they may withdraw that consent. If withdrawal means the avatar can no longer lawfully or appropriately operate, we may suspend or delete the avatar.
13.3 A Creator, Family Group Lead or User cannot override a valid withdrawal by the Avatar Subject simply because they helped create the avatar, contributed information or paid for the Service.
13.4 Where there is a genuine dispute about consent or authority, we may temporarily restrict access or changes while the position is established.
14.1 An avatar does not automatically cease to be available when the Avatar Subject dies.
14.2 Where the Service allows an Avatar Subject to record preferences about what should happen after their death, we will seek to respect those wishes where reasonably and legally possible.
14.3 Following death, we may restrict access or changes while we establish appropriate authority. We may require reasonable evidence of death and authority before allowing significant changes, changing management of the avatar or deleting it.
14.4 If there is a genuine dispute, we may preserve the avatar while restricting access or changes until the position is resolved. YourAvatar will not determine inheritance or family disputes.
14.5 No Creator, Family Group Lead or User obtains ownership of the Avatar Subject's identity simply because the Avatar Subject has died.
15.1 Some elements of YourAvatar may be available without charge and others may require payment. Before you buy, we will show you the price, billing period, included usage and main features.
15.2 If a paid service renews automatically, we will tell you clearly before you subscribe, including how renewal works and how to cancel.
15.3 If we offer a free or reduced-price introductory period that later becomes paid, we will explain the duration, what happens when it ends and the price that will apply.
15.4 You may cancel a renewing subscription using the cancellation method made available through the Service or by contacting us using the contact details provided there. Cancellation will stop future renewals.
15.5 You retain all cancellation, refund and other rights given to you by UK consumer law. Nothing in these Terms limits statutory rights that cannot lawfully be excluded.
15.6 If we increase the price of an existing subscription, we will give reasonable advance notice and any cancellation opportunity required by law.
16.1 We aim to provide a reliable Service, but we cannot promise uninterrupted availability.
16.2 The Service may be unavailable because of maintenance, updates, faults, third-party interruptions, security incidents or circumstances outside our reasonable control.
16.3 We may develop, update, replace, add or remove features as the Service evolves. For paid services, we will take account of applicable consumer rights before making a change that materially reduces what you purchased.
17.1 YourAvatar relies on third-party technology and services, which may include cloud infrastructure, artificial intelligence, voice, video, communications, analytics and payment services.
17.2 Our Privacy Policy explains how personal information may be shared with relevant providers and the safeguards that apply.
17.3 We remain responsible for our obligations to you where applicable law does not allow that responsibility to be transferred.
18.1 You may stop using YourAvatar at any time. If you have a paid renewing subscription, you should cancel it to prevent future renewal charges.
18.2 We may restrict or suspend access where reasonably necessary to protect a person from harm, investigate suspected misuse, protect security, comply with law, address non-payment or respond to a serious or repeated breach of these Terms.
18.3 We may terminate an account for a material or repeated breach. Where reasonable, we will explain the reason and provide an opportunity to resolve the issue before permanent termination.
18.4 You may request closure of your account using the account controls or contact method made available through the Service.
18.5 Closing an account does not necessarily require immediate deletion of information that also forms part of another person's avatar or Family Group. Requests concerning personal information will be handled under our Privacy Policy and applicable law.
19.1 We are responsible for providing YourAvatar with the care and skill required by law.
19.2 Nothing in these Terms excludes or limits responsibility where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, and statutory consumer rights that cannot lawfully be excluded.
19.3 If we breach these Terms, we are responsible for loss or damage that is a foreseeable consequence of that breach.
19.4 We are not responsible for the accuracy of memories or other material contributed by another User or Creator where we did not create or verify that information.
19.5 We are not responsible for losses resulting solely from a User treating an AI-generated response as professional medical, legal, financial or other regulated advice contrary to these Terms.
19.6 These consumer Terms cover personal and domestic use. We are not responsible under these Terms for business losses arising from unauthorised commercial use of the Service.
20.1 We want to resolve problems fairly and promptly. You can contact us using the contact method made available through the Service or write to our registered office.
20.2 If your complaint concerns personal information, our Privacy Policy explains your data protection rights and your right to complain to the Information Commissioner's Office.
21.1 We may update these Terms as the Service, applicable law or regulatory requirements change.
21.2 Where a material change affects an existing user, we will provide reasonable notice where required and explain when the new Terms take effect.
21.3 We will not use a change to these Terms to remove statutory rights that have already arisen.
22.1 If a court finds part of these Terms unlawful or unenforceable, the remaining provisions will continue to apply.
22.2 If we do not immediately enforce a provision, this does not mean that we have waived our right to do so later.
22.3 You may not transfer your account to another person without our agreement.
22.4 We may transfer our rights and obligations as part of a restructuring, financing, sale or transfer of our business, provided this does not reduce your rights under these Terms or applicable consumer law.
23.1 These Terms are governed by the laws of England and Wales.
23.2 Consumers retain any rights they have under applicable law to bring proceedings in the courts of the part of the United Kingdom in which they live.
